1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the VH360+ Athlete platform ("Platform") operated by Virtual Health 360, Inc. ("VH360," "we," "us," or "our"). By submitting an intake form or using the Platform, you agree to be bound by these Terms.

2. Nature of the Platform

VH360 is a technology platform that connects users ("you" or "Patient") with independent, licensed Doctors of Physical Therapy ("DPTs") for virtual injury triage and movement guidance. VH360 does not provide medical, physical therapy, or healthcare services. All clinical guidance, recommendations, and care decisions are made solely by the independent DPT, who is responsible for their own clinical judgment and practice.

The Platform is advisory in nature and does not constitute:

A formal medical diagnosis

Imaging interpretation or radiologic review

A prescription for medication

A replacement for in-person medical or physical therapy evaluation

Emergency medical care

3. Independent DPT Relationship

The DPTs available through the Platform are independent licensed practitioners. They are not employees or agents of VH360. The clinical relationship is between you and the DPT. VH360 is not a party to that clinical relationship and is not responsible for the clinical advice, recommendations, accuracy of guidance, or outcomes resulting from your interactions with the DPT.

DPTs available on the Platform are required to maintain appropriate professional licensure and to practice within their licensed scope. Any clinical complaint, concern, or claim regarding the care you receive should be directed to the DPT and the relevant state licensing board.

4. Not an Emergency Service

The Platform is not designed for emergencies. If you are experiencing any of the following, call 911 or go to the nearest emergency room immediately:

Loss of consciousness or fainting

Severe or uncontrolled bleeding

Visible bone deformity, open fracture, or bone protruding through skin

Head, neck, or spine injury

Chest pain, pressure, or difficulty breathing

Sudden weakness, numbness, slurred speech, or facial drooping

Seizure

Severe allergic reaction

Suspected overdose or poisoning

Severe, sudden, or unmanageable pain

If you are unsure whether a situation is an emergency, treat it as one and call 911.

5. Scope of Service

The DPT, operating independently, will provide virtual triage and guidance limited to movement assessment, rehabilitation suggestions, load management, return-to-activity considerations, and referral guidance. The DPT cannot order diagnostic imaging, prescribe medication, or perform care requiring in-person physical examination. When in-person evaluation is warranted, the DPT will recommend referral to an appropriate provider.

6. Licensure and Jurisdiction

The DPTs available through the Platform are licensed in the United States and practice consistent with the laws of the state in which you are physically located at the time of consultation. You agree to provide your accurate location at the time of service so that the Platform can match you with an appropriately licensed DPT.

7. Consent to Information Sharing

By using the Platform, you consent to share your health information, injury history, and related details with:

The independent DPT providing your consultation

VH360, solely for the purpose of operating the Platform, matching you with a DPT, processing payment, and maintaining records

VH360 handles your information in accordance with applicable privacy laws and our Privacy Policy.

8. Minor Consent

If the injured party is under 18 years old, this form must be completed by a parent or legal guardian. By submitting on behalf of a minor, you represent and warrant that you are the parent or legal guardian and have the legal authority to consent to virtual care on the minor's behalf. The guardian's contact information must be provided and used for all Platform communications regarding a minor.

9. Assumption of Risk

You understand and accept that any movement, exercise, stretching, or self-care activity carries inherent risk of injury or aggravation of existing conditions. By using the Platform, you agree to:

Perform any recommended activity at your own pace and within your own tolerance

Stop immediately if pain, symptoms, or condition worsen

Contact a DPT through the Platform or seek in-person care if your condition does not improve or deteriorates

Accept full responsibility for your independent application of any guidance received

10. Follow-Up Care and Referrals

Recommendations provided by the DPT are advisory. Continued, escalated, or in-person care may be necessary and may require referral to an outside provider. It is your responsibility to follow through on referrals and to communicate any changes in your condition.

11. Communications Consent

By submitting the intake form, you consent to receive text messages and emails from Virtual Health 360, Inc., including:

DPT consultation and appointment communications

Care coordination messages

Marketing and promotional content, including special offers, discounts, and product updates

Message frequency varies. Message and data rates may apply. Reply HELP for assistance or STOP to opt out of marketing messages at any time. Opting out of marketing does not opt you out of essential service communications related to an active consultation.

12. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. VH360 makes no warranties, express or implied, regarding the Platform, the availability of DPTs, the accuracy or completeness of any guidance provided by DPTs, or any outcome resulting from use of the Platform. VH360 disclaims all implied warranties to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, VH360, its officers, directors, employees, contractors, and affiliates shall not be liable for:

Any clinical advice, recommendation, or guidance provided by an independent DPT through the Platform

Any direct, indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Platform

Any loss arising from your independent application of guidance received through the Platform

Any outcome, injury, re-injury, or condition that develops or worsens during or after use of the Platform

VH360's total aggregate liability for any claim arising from your use of the Platform, regardless of the form of action, shall not exceed the amount you paid to VH360 in the six (6) months preceding the claim, or one hundred dollars ($100), whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless VH360 and its officers, directors, employees, contractors, and affiliates from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising from:

Your use of the Platform

Your violation of these Terms

Your application of any guidance received through the Platform

Any claim that you provided inaccurate information, including misrepresenting your age, identity, location, or guardian status

15. No Guarantee of Outcome

VH360 makes no guarantee regarding recovery timelines, return-to-sport readiness, prevention of injury or re-injury, or the accuracy of any specific guidance. Outcomes depend on factors beyond the control of VH360 and the DPT, including individual compliance, biology, and access to follow-up care.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising from or relating to the Platform or these Terms shall be resolved through binding arbitration in Broward County, Florida, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Modifications

VH360 reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.
